Senior Legal Counsel

Key Responsibilities of Senior Legal Counsel:

  • Commercial: lead for all sales contracts in on-trade and wholesale channels. Drafting, reviewing contracts, side letters, settlement agreements, tenders and termination notices, maintenance and creation of precedents and providing advice and training on distribution models, exclusive offerings, listing fees and conditionality. Key legal contract for other supply arrangements including pourage at key sponsored venues.

  • Commercial: lead on certain sponsorship arrangements. Drafting, reviewing contracts and providing advice on the implementation and use of certain sponsorship rights (implementation of rights re. Wimbledon, golf open, FA Cup and global deals on a local level)

  • Outsourcing and commercial: Key legal support to key outsourced services including draught dispense and technical services, logistics and warehousing. Requirement to lead key tenders and transfer service providers of certain services with the aim of entering into service agreements. Management of all key legal elements (including assisting with mobilisation plans and meeting project timetables). Some knowledge of TUPE required.

  • Line management responsibilities: Providing line management support to junior legal counsel, including target review, building and monitoring personal development plan, supporting through People processes and general line management support and guidance.

  • Food Law: escalation route for product labelling queries. Review of brand extensions and support to Legal Director on innovations and global brand extensions into local market.

  • Regulation: marketing, advertising and sales promotions. Review and sign-off and support to junior legal counsel in line with regulation, codes and policies certain advertising material: focus on TV commercials, sponsorship materials, out-of home global campaigns for local implementation and digital concepts (facebook, twitter, Instagram and other applications) and key corporate and brand websites. Support to junior legal counsel re marketing and advertising queries including liaison where needed with regulators: Committee of Advertising Practise and appropriate pre-clearance bodies. Escalation contact for internal and external challenge on marketing, sales promotions and advertising.

  • Projects: Assisting business and support to Legal Director with strategic projects relating to sales, route to market and brand offerings.

  • Competition law: Practical understanding of competition law and its implications on commercial contracts. Conducting training to train business on the importance of competition law compliance.

  • Corporate Governance: Lead on corporate/ commercial projects relating to company/UK structure. Provide support to Junior Legal Counsel in the implementation of all company secretarial matters for 15 UK group companies (filings, data protection etc.)

  • Compliance: Key lead and implementation of UK compliance plan. Plan includes implementation of training, communications and continued performance of key compliance tools and processes. Key areas: contract management, anti-corruption and bribery and corporate governance. Support given by UK legal team.

  • Ad hoc:

  • Data Protection (including cookie compliance, CRM management and global projects)

  • Ethics and Compliance (lead of the UK compliance committee and key involvement in local internal investigations)

  • Training to business and external suppliers on ad-hoc legal matters

  • Ambassador of all AB InBev global and local policies and codes

  • Competition queries and data use by on-trade sales channel

  • Consumer queries and complaints: legal support

  • Support to Legal Director generally including crisis management, business continuity and health and safety matters

  • Managing relationships with external counsel on ad hoc matters

  • Engagement programme for both the legal and wider Legal and Corporate Affairs team

  • Responding to ad hoc queries and providing general legal support to wider internal stakeholder groups across the business

    Qualifications:

  • Qualified UK solicitor: 5 Years PQE plus

  • Previous in-house experience preferable

  • Experience with working with or for FMCG companies and experience in food/beverage law preferable

  • Strong commercial lawyer: Experience with supply and sales contracts including large scale sponsorship agreements

  • Experience in competition law

  • Experience in outsourcing and project management

  • Experience with advising on data protection

  • Experience with reporting to senior management and board members

  • Experience in managing and leading junior team members

  • Experience in corporate governance and corporate work
